Terms of Service

Please read these Terms of Service (“Terms”) carefully before using FindVibe. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use FindVibe.
1. Acceptance of Terms
By creating an account, purchasing a ticket, listing an event, submitting a sponsor campaign, or otherwise accessing or using FindVibe (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you and FixAction Inc. (“FixAction,” “we,” “us,” or “our”), a corporation organized under the laws of the State of Washington.
If you are using the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and that entity.
We may update these Terms from time to time as described in Section 17. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- “Platform” means the FindVibe website, mobile applications, APIs, and all related services operated by FixAction Inc.
- “User” means any individual or entity that accesses or uses the Platform, including Organizers, Attendees, and Sponsors.
- “Organizer” means any User who creates, manages, or promotes events on the Platform. This includes event promoters, venue operators, and any entity that lists events for ticket sales through FindVibe.
- “Attendee” means any User who purchases tickets, registers for events, or attends events listed on the Platform.
- “Sponsor” means any User who purchases advertising placements, submits promotional campaigns, or participates in the sponsor marketplace on the Platform.
- “Content” means all text, images, graphics, audio, video, event descriptions, promotional materials, reviews, comments, and any other material that Users submit, post, or transmit through the Platform.
- “Ticket” means a digital instrument, represented by a QR code or other digital format, that grants the holder admission to a specific event listed on the Platform.
- “Platform Fee” means the fees charged by FindVibe for use of the Platform, as described in Section 7.
- “Organizer Data” means information about Attendees collected through the Platform in connection with an Organizer's events, including names, email addresses, and purchase history.
3. Account Registration and Eligibility
3.1 Age Requirement
You must be at least eighteen (18) years of age to create an account on or use the Platform. By registering for an account, you represent and warrant that you are at least 18 years old. FindVibe does not knowingly collect personal information from individuals under the age of 18. If we learn that a User is under 18, we will promptly terminate their account and delete their data.
3.2 Account Registration
To access certain features of the Platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information to keep it accurate and complete;
- Maintain the security and confidentiality of your login credentials;
- Accept responsibility for all activity that occurs under your account;
- Notify us immediately at support@findvibes.com if you suspect unauthorized access to your account.
3.3 One Account Per Person
Each individual may maintain only one account. Each business entity may register one account per distinct brand or operational unit, provided each account is associated with a unique authorized representative.
3.4 Account Verification
We may require identity verification at our discretion, particularly for Organizer and Sponsor accounts. This may include government-issued identification, business registration documents, or other documentation. Failure to complete verification when requested may result in account suspension or termination.
4. Organizer Terms
4.1 Event Creation and Management
Organizers may use the Platform to create event listings, sell tickets, manage attendee check-in via QR codes, and configure revenue splits with co-organizers or other parties. Organizers are solely responsible for:
- The accuracy of all event information, including date, time, location, lineup, and pricing;
- The actual production, execution, and safety of their events;
- Compliance with all applicable federal, state, and local laws, regulations, ordinances, and permit requirements in the jurisdiction where the event takes place;
- Obtaining all necessary licenses, permits, and insurance for their events;
- Ensuring that their events comply with venue capacity limits and fire codes;
- The conduct and safety of Attendees at their events.
4.2 FindVibe Is a Platform, Not a Promoter
FindVibe provides technology infrastructure for event ticketing and management. FindVibe does not organize, host, promote, or produce events. The relationship between Organizers and Attendees is directly between those parties. FindVibe is not a party to that relationship and has no liability for events listed on the Platform.
4.3 Content Standards for Events
Event listings must not contain Content that is false, misleading, defamatory, obscene, or that promotes illegal activity. FindVibe reserves the right to remove any event listing that violates these standards or these Terms, at our sole discretion and without prior notice.
4.4 Compliance with Laws
Organizers are responsible for ensuring that their events and all associated marketing comply with applicable laws, including but not limited to consumer protection laws, alcohol and cannabis regulations, accessibility requirements (including the Americans with Disabilities Act), anti-discrimination laws, and local noise ordinances. Organizers who feature cannabis-related sponsors or vendors must ensure full compliance with the laws of the state and municipality where the event is held.
4.5 Payout Terms
Organizers will receive payouts for ticket sales, less applicable Platform Fees and any refunds processed, according to the following terms:
- Payouts are processed through Stripe Connect and are subject to Stripe's terms and verification requirements;
- Organizers must provide valid banking information and complete Stripe's identity verification process before payouts can be issued;
- Standard payout timing is within seven (7) business days following the completion of the event, unless otherwise specified in a separate written agreement;
- FindVibe may withhold payouts if there are unresolved disputes, suspected fraud, chargebacks, or violations of these Terms;
- Revenue split configurations set by the Organizer within the Platform are binding, and FindVibe will distribute funds according to those configurations;
- FindVibe is not responsible for errors in payout amounts resulting from incorrect revenue split configurations entered by the Organizer.
4.6 Event Cancellation by Organizer
If an Organizer cancels an event, the Organizer is responsible for ensuring that all Attendees receive full refunds. FindVibe will facilitate the refund process through the Platform, and applicable processing fees may be deducted from the Organizer's balance. Repeated cancellations may result in account suspension or termination.
5. Attendee Terms
5.1 Ticket Purchases
When you purchase a Ticket through the Platform, you are entering into a transaction with the Organizer of the event. FindVibe facilitates this transaction but is not the seller of the Ticket. All ticket sales are final unless otherwise stated in the Organizer's refund policy or required by applicable law.
By purchasing a Ticket, you agree to:
- Provide accurate payment and contact information;
- Comply with the Organizer's event rules and policies;
- Present a valid QR code Ticket at the event for check-in;
- Not duplicate, screenshot for redistribution, forge, or tamper with your QR code Ticket.
5.2 Refund Policy
Refund policies are set by individual Organizers and will be displayed on the event listing page at the time of purchase. Unless the Organizer's policy states otherwise:
- Refund requests must be submitted through the Platform at least forty-eight (48) hours before the event start time;
- Refund requests made within 48 hours of the event are at the Organizer's discretion;
- If an event is canceled by the Organizer, Attendees are entitled to a full refund of the ticket purchase price;
- If an event is rescheduled, Tickets remain valid for the new date. Attendees who cannot attend the rescheduled date may request a refund from the Organizer;
- Platform Fees are non-refundable, except in cases of event cancellation by the Organizer;
- Processing fees charged by payment processors (Stripe) may be non-refundable, depending on the circumstances.
FindVibe will make commercially reasonable efforts to facilitate refunds but cannot guarantee refund processing if the Organizer's account has insufficient funds.
5.3 QR Code Tickets
Each Ticket is associated with a unique QR code. This QR code is your proof of purchase and admission credential. You are responsible for safeguarding your QR code. FindVibe is not responsible for Tickets that are lost, stolen, duplicated, or shared by the Attendee. Each QR code is valid for a single scan and a single admission. Once scanned at the event, the Ticket is consumed and cannot be reused.
5.4 Ticket Transfers
Ticket transfers are permitted only through the Platform's official transfer mechanism, if available. Tickets sold or transferred outside the Platform (including through third-party resale sites) may be voided without refund at the Organizer's or FindVibe's discretion.
5.5 Prohibited Behavior at Events
Although FindVibe does not control events, Attendees agree not to engage in conduct that is dangerous, unlawful, disruptive, or that violates the Organizer's posted event rules. Organizers reserve the right to deny admission or remove any Attendee from an event, and FindVibe bears no responsibility for such decisions.
6. Sponsor Terms
6.1 Sponsor Marketplace
The Platform includes a marketplace where Sponsors can submit advertising campaigns and promotional materials targeted to event Attendees. Sponsors may purchase ad placements associated with specific events, event categories, geographic regions, or audience segments.
6.2 Campaign Submission and Approval
All Sponsor campaigns are subject to review and approval by FindVibe and, where applicable, by the relevant Organizer. FindVibe reserves the right to reject, remove, or require modifications to any campaign at our sole discretion. Approval of a campaign does not constitute endorsement of the Sponsor, its products, or its services.
6.3 Content Standards for Sponsor Campaigns
Sponsor Content must comply with all applicable advertising laws and regulations, including Federal Trade Commission (FTC) guidelines. Sponsor Content must not:
- Be false, misleading, or deceptive;
- Promote illegal products or activities under applicable federal or state law;
- Contain hate speech, harassment, or discriminatory content;
- Infringe on the intellectual property rights of any third party;
- Target individuals under the age of 18;
- Violate applicable industry-specific advertising regulations (including regulations governing the advertising of cannabis, alcohol, tobacco, or firearms).
Sponsors operating in regulated industries (including cannabis) are solely responsible for ensuring that their campaigns comply with all applicable federal, state, and local laws and advertising regulations in the jurisdictions where the campaigns are displayed.
6.4 Payment Terms for Sponsors
- Sponsor campaigns are billed according to the pricing model selected at the time of campaign creation (for example, per-impression, per-click, or flat-rate);
- Payment is processed through Stripe and is subject to Stripe's terms;
- Sponsors must provide valid payment information and maintain sufficient funds for active campaigns;
- FindVibe may suspend campaigns if payment fails or is disputed;
- Invoices and campaign performance reports are accessible through the Platform dashboard.
6.5 No Guaranteed Results
FindVibe does not guarantee any specific level of impressions, clicks, conversions, or other performance metrics for Sponsor campaigns. Estimated reach and performance projections provided on the Platform are approximations only and do not constitute guarantees.
7. Payments and Fees
7.1 Payment Processing
All payments on the Platform are processed through Stripe, Inc. (“Stripe”). By using the Platform to make or receive payments, you agree to Stripe's Terms of Service and Privacy Policy. FindVibe does not directly store credit card numbers or bank account details; this information is handled by Stripe in accordance with Payment Card Industry Data Security Standard (PCI DSS) requirements.
7.2 Platform Fees
FindVibe charges the following fees for use of the Platform:
- Ticket Sales: A per-ticket service fee and/or a percentage of the ticket price, as disclosed on the event listing page at the time of purchase. The fee structure is configured by the Organizer and may be absorbed by the Organizer or passed to the Attendee;
- Sponsor Campaigns: Fees as specified in the campaign pricing at the time of purchase;
- Payout Processing: Applicable Stripe Connect transfer fees as disclosed at the time of onboarding.
Specific fee amounts are subject to change. Current fee schedules are available on the Platform and will be disclosed before any transaction is completed.
7.3 Currency
All transactions on the Platform are denominated in United States Dollars (USD).
7.4 Taxes
Users are responsible for determining and paying any taxes applicable to their transactions. Organizers are responsible for collecting and remitting any applicable sales tax, entertainment tax, or other taxes on ticket sales. FindVibe does not provide tax advice and is not responsible for the tax obligations of any User.
7.5 Chargebacks and Disputes
If a payment dispute or chargeback is initiated by a buyer, FindVibe will cooperate with Stripe's dispute resolution process. Organizers are responsible for providing documentation and evidence to contest chargebacks related to their events. If a chargeback is upheld, the disputed amount plus any chargeback fees assessed by Stripe will be deducted from the Organizer's balance or invoiced to the Organizer.
8. Intellectual Property
8.1 FindVibe Platform
The Platform, including its design, code, features, functionality, trademarks, logos, and all associated intellectual property, is owned by FixAction Inc. and is protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse-engineer or attempt to extract the source code of the Platform, except as expressly permitted by law.
8.2 User Content Ownership
Users retain ownership of the Content they submit to the Platform. By submitting Content, you grant FixAction Inc. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and perform that Content in connection with operating, promoting, and improving the Platform. This license continues even if you stop using the Platform, but only with respect to Content that was shared with other Users or made publicly available prior to termination.
8.3 Feedback
If you provide suggestions, ideas, or feedback about the Platform (“Feedback”), you grant FixAction Inc. an unrestricted, irrevocable, perpetual, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.
8.4 DMCA and Copyright Complaints
If you believe that Content on the Platform infringes your copyright, please submit a notice in accordance with the Digital Millennium Copyright Act (DMCA) to our designated agent:
Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material and its location on the Platform, (c) your contact information, (d) a statement that you have a good-faith belief the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner, and (f) your physical or electronic signature.
9. User Content
9.1 Responsibility for Content
Users are solely responsible for all Content they submit, post, or transmit through the Platform. FindVibe does not endorse, verify, or assume responsibility for any User Content.
9.2 Content Moderation
FindVibe reserves the right, but has no obligation, to monitor, review, edit, or remove any Content at our sole discretion, for any reason or no reason, including Content that we believe violates these Terms, is objectionable, or may expose FindVibe or its Users to harm or liability.
9.3 Prohibited Content
The following types of Content are prohibited on the Platform:
- Content that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy;
- Content that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party;
- Content that contains malware, viruses, or any other harmful code;
- Unsolicited commercial messages or spam;
- Content that is intentionally false or misleading;
- Content that promotes discrimination, hatred, or violence against any individual or group;
- Content that depicts or promotes child exploitation or abuse;
- Content that violates any applicable law or regulation.
9.4 AI-Powered Features
The Platform uses artificial intelligence and machine learning to analyze user behavior, preferences, and engagement patterns for the purpose of providing personalized event recommendations, optimizing sponsor targeting, and improving the Platform experience. By using the Platform, you consent to this analysis. You may opt out of personalized recommendations through your account settings, though this may limit certain Platform features. 10. Privacy
Your privacy matters to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.
Key privacy practices include:
- We collect personal data including names, email addresses, location data, purchase history, and interest profiles;
- We use this data to operate the Platform, process transactions, provide personalized experiences, and enable sponsor targeting;
- We share data with Organizers, payment processors, and service providers as necessary to deliver the Platform's functionality;
- We implement industry-standard security measures to protect your data;
- You have rights regarding your personal data as described in the Privacy Policy.

11. Data Ownership and Processing
11.1 Organizer Data Ownership
Organizers retain ownership of the Organizer Data generated through their events. This includes Attendee names, email addresses, check-in records, and purchase history associated with the Organizer's events. Organizers may export their Organizer Data through the Platform at any time.
11.2 FindVibe as Data Processor
With respect to Organizer Data, FindVibe acts as a data processor on behalf of the Organizer (as data controller). FindVibe will process Organizer Data only as necessary to operate the Platform, perform services requested by the Organizer, comply with legal obligations, and as otherwise described in these Terms and our Privacy Policy.
11.3 Data Aggregation and Analytics
FindVibe may aggregate and anonymize User data to generate analytics, reports, benchmarks, and insights. Aggregated and anonymized data does not identify any individual User and is not considered Organizer Data. FindVibe owns all aggregated and anonymized data and may use it for any lawful business purpose, including improving the Platform, generating industry reports, and informing product development.
11.4 Data Security
FindVibe implements commercially reasonable administrative, technical, and physical security measures to protect User data, including encryption in transit and at rest, access controls, and regular security assessments. However, no method of electronic storage or transmission is completely secure, and FindVibe cannot guarantee absolute security.
11.5 Data Retention
FindVibe retains User data for as long as the User's account is active and for a reasonable period thereafter as necessary to fulfill the purposes described in these Terms and our Privacy Policy, comply with legal obligations, resolve disputes, and enforce agreements. Organizer Data is retained for a minimum of three (3) years after the associated event for tax, legal, and dispute resolution purposes.
12. Prohibited Conduct
You agree not to engage in any of the following conduct on or through the Platform:
12.1 Fraud and Misrepresentation
- Creating events with no intention of holding them;
- Providing false or misleading information in event listings, account registration, or sponsor campaigns;
- Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
- Using stolen or unauthorized payment methods.
12.2 Ticket Abuse
- Using automated tools, bots, or scripts to purchase tickets in bulk;
- Reselling tickets at prices above face value (scalping) unless the Organizer has explicitly permitted resale through the Platform;
- Counterfeiting, duplicating, or forging QR code Tickets;
- Circumventing ticket purchase limits.
12.3 Platform Abuse
- Attempting to gain unauthorized access to any part of the Platform, other Users' accounts, or connected systems;
- Interfering with or disrupting the Platform's infrastructure, servers, or networks;
- Scraping, crawling, or collecting data from the Platform using automated means without our written consent;
- Introducing malware, viruses, or other harmful code;
- Circumventing any security measures, access controls, or rate limits on the Platform.
12.4 Harmful Behavior
- Harassing, threatening, intimidating, or bullying other Users;
- Engaging in discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age;
- Promoting or facilitating illegal activity;
- Violating any applicable federal, state, or local law or regulation.
FindVibe reserves the right to investigate and take appropriate action against any User who violates this Section 12, including removing Content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
13. Disclaimers and Limitation of Liability
13.1 Platform Provided “As Is”
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, FixAction Inc. disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
13.2 Third-Party Events and Services
FindVibe is a technology platform that facilitates connections between Organizers, Attendees, and Sponsors. FindVibe does not own, operate, manage, or control any events listed on the Platform. FixAction Inc. is not responsible for and disclaims all liability arising from:
- The quality, safety, legality, or any other aspect of events listed on the Platform;
- The accuracy or completeness of event listings or Organizer information;
- The actions, omissions, or conduct of any Organizer, Attendee, Sponsor, or other third party;
- Any personal injury, property damage, or other harm arising from or related to any event.
13.3 Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall FixAction Inc., its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, regardless of the theory of liability (whether contract, tort, strict liability, or otherwise), even if FixAction Inc. has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of FixAction Inc. for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of: (a) the amounts paid by you to FindVibe in the twelve (12) months preceding the claim, or (b) one hundred United States Dollars ($100.00).
13.4 Essential Purpose
The limitations and exclusions in this section apply regardless of whether the limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you. In such jurisdictions, FixAction Inc.'s liability is limited to the greatest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless FixAction Inc., its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Platform;
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Any Content you submit, post, or transmit through the Platform;
- Any event you organize, attend, or sponsor through the Platform;
- Any dispute between you and another User of the Platform;
- Your negligence or willful misconduct.
FixAction Inc. reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of any such claim. You will not settle any claim without FixAction Inc.'s prior written consent.
15. Dispute Resolution
15.1 Governing Law
These Terms and any disputes arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-laws principles.
15.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@findvibes.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most disputes can be resolved without resort to formal proceedings.
15.3 Binding Arbitration
If we cannot resolve a dispute informally, you and FixAction Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (excluding claims for injunctive or equitable relief) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, to the extent applicable.
- The arbitration shall be conducted by a single arbitrator;
- The arbitration shall take place in King County, Washington, or at another mutually agreed location. At your request, the arbitration may be conducted by telephone, online, or based solely on written submissions;
- The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction;
- Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award fees and costs to the prevailing party.
15.4 Class Action Waiver
You and FixAction Inc. agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against FixAction Inc.
15.5 Exceptions
Notwithstanding the above, either party may bring a claim in small claims court if the claim qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction in King County, Washington, to protect intellectual property rights or to prevent irreparable harm.
16. Termination
16.1 Termination by You
You may terminate your account at any time by contacting us at support@findvibes.com or through your account settings. Termination of your account does not relieve you of any obligations incurred before termination, including payment obligations.
16.2 Termination by FindVibe
FindVibe may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:
- Violation of these Terms;
- Fraudulent, abusive, or illegal activity;
- Failure to pay amounts owed;
- Extended inactivity;
- Request by law enforcement or government authorities;
- Discontinuation or material modification of the Platform.
16.3 Effect of Termination
Upon termination:
- Your right to access and use the Platform ceases immediately;
- Any pending payouts may be withheld for a period of up to ninety (90) days to account for potential chargebacks, disputes, or refund requests;
- Organizer Data export requests must be submitted within thirty (30) days of termination. After this period, FindVibe may delete Organizer Data, subject to legal retention requirements;
- The following Sections survive termination: 8 (Intellectual Property), 11 (Data Ownership and Processing), 13 (Disclaimers and Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and this Section 16.3;
- FindVibe is not liable to you or any third party for the termination of your account.
17. Modifications to Terms
FindVibe reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the “Last Updated” date at the top of these Terms;
- Provide notice through the Platform (such as a banner or notification) or via email to your registered email address at least thirty (30) days before the changes take effect;
- For changes that materially affect Organizer payout terms or Sponsor campaign pricing, provide at least sixty (60) days' advance notice.
If you do not agree to the modified Terms, you must stop using the Platform before the changes take effect and may terminate your account as described in Section 16.1. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements you enter into with FindVibe, constitute the entire agreement between you and FixAction Inc. regarding your use of the Platform.
18.2 Severability
